Affiliate Terms

These Affiliate Terms govern your use of Rekomi as an affiliate or creator earning commissions. They are separate from the Brand Terms; you do not need to read the Brand billing terms to understand how you are paid. By creating an affiliate account, joining a program, or accepting an invitation, you agree to these Affiliate Terms.

1. Who we are and scope

The Rekomi service (“Rekomi”, the “Service”) is operated by Uplup Inc. (“Uplup”, “we”, “us”, “our”), 382 NE 191st St, PMB 836716, Miami, FL 33179-3899, United States. These Affiliate Terms (the “Affiliate Terms”) govern your participation as an affiliate or creator. The Brand Terms govern Brands; where a matter is specific to affiliates, these Affiliate Terms control. Our handling of personal data is described in the Privacy Policy, and conduct rules are in the Acceptable Use Policy.

2. Definitions

  • Affiliate (or “Creator”, “you”): a person or entity that promotes a Brand’s products in exchange for commission, managed through Rekomi.
  • Brand: a business that runs an affiliate program you may join.
  • Customer: an end customer of a Brand whose purchase may be attributed to you.
  • Commission: the gross amount a Brand agrees to pay you for a qualifying click, lead, or sale under its program.
  • Payout: the disbursement of your earned, approved Commission, net of the withdrawal fee, on your payout rail.

3. Eligibility and your account

You must be at least 18 years old. You agree to provide accurate information and keep it current, to keep your credentials safe, and to be responsible for activity under your account. You may hold one affiliate account. Each affiliate chooses a referral slug that identifies them in tracking links across every Brand they promote; this slug is a public identifier and must not impersonate any Brand, trademark, person, or other user, and must not be offensive, deceptive, or unlawful. Rekomi may reset or reclaim a slug that violates this provision.

4. Your relationship with Brands

Rekomi provides the tools that connect you with Brands; it is not a party to the commercial relationship between you and a Brand. Each Brand sets its own program, commission terms, approval decisions, and the lawfulness of its offers. You promote a Brand’s products under that Brand’s program terms and applicable law. Disputes over whether a Commission is owed, or over a Brand’s program terms, are between you and the Brand; Rekomi does not guarantee any commission, conversion, approval, or payout outcome, and a Brand may pause or close its program.

5. How you get paid

For payout runs it facilitates, Rekomi acts as the payer of record: the Brand funds the payout run, and Rekomi disburses your Payout to you. Rekomi deducts its platform fee from the Brand (it does not reduce your earnings beyond the withdrawal fee described below) and pays you the net of your Commission after the withdrawal fee. Rekomi is not a bank or money transmitter, does not hold funds on your behalf beyond the brief period needed to settle a run, and does not guarantee the timing or success of any transfer, which depends on the payment provider and your receiving institution.

Payout rail. Your rail is determined by your payout country, not chosen by hand: Stripe Express for supported countries (including the United States), or PayPal for other supported countries (rolling out), or manual arrangement where neither is available. See Supported countries. Stripe locks your account country when you create your Stripe Express account.

Withdrawal fee.Payouts are subject to a standard withdrawal fee that covers the conventional cost of moving money to you: a flat $2.25 plus 0.25% of the payout, per monthly consolidated payout. The fee is deducted from your Commission, so your net Payout is your Commission minus the withdrawal fee. An optional instant payout, where offered, may carry an additional uplift you choose at the time. Minimum payout thresholds and a Brand’s approval or refund hold may apply before a Commission becomes payable.

Currency and FX.Commissions and Payouts are denominated in the Brand’s settlement currency (usually USD). If you receive in a different currency, your payment provider performs the conversion on receipt and any conversion cost or spread is borne by the party that requested the off-currency payout, which is generally you. Rekomi does not add an FX markup beyond its disclosed platform fee.

6. Tax forms and withholding

You are responsible for your own taxes. To be paid above applicable thresholds, you must provide valid tax information. How it is collected depends on your rail: on Stripe Express, Stripe collects and holds your form during onboarding (a W-9 for U.S. persons; a W-8BEN or W-8BEN-E for non-U.S. persons); on the PayPal rail, you upload your W-8 directly to Rekomi, which stores it privately. If you earn more than $600 from a single Brand in a U.S. calendar year, that Brand files a 1099-NEC for you using Rekomi’s year-end export; Rekomi does not file tax forms or provide tax advice. Without valid tax information on file, a Payout above the relevant threshold may be held, and absent a valid W-8, default U.S. withholding (up to 30%, subject to any applicable treaty) may apply. 7. Clawback, reversals, and negative balances

A Commission is earned only on a valid, non-reversed event. If a sale is refunded, charged back, disputed, or found to be fraudulent, invalid, or in breach of these Affiliate Terms or a Brand’s program terms, the related Commission is reversed. You authorize Rekomi to reverse such Commissions, to offset them against your pending or future Payouts, and, where a Payout has already been made, to recover the amount from future Payouts or by other lawful means. If your balance becomes negative, future earnings are applied to it before any further Payout.

8. Identity verification, KYC, and AML

Because Rekomi and its payment providers move real funds to you, you may be required to verify your identity and payout details before or during payouts. You authorize Rekomi and its providers (including Stripe and, where applicable, PayPal) to collect and verify this information and to originate the transfers that pay you. Consistent with applicable anti-money-laundering law, including the U.S. Bank Secrecy Act and the USA PATRIOT Act, we or our providers may request identifying documents, and we may delay, hold, or decline a Payout, or suspend an account, where verification is incomplete or where we reasonably suspect fraud, sanctions exposure, or unlawful activity. You represent that you are not located in, resident in, or acting on behalf of a comprehensively sanctioned jurisdiction or person.

9. Acceptable use and fraud

You agree to the Acceptable Use Policy. In particular, you may not generate fake clicks, leads, conversions, or accounts; engage in cookie stuffing, forced clicks, typosquatting, trademark or brand-name bidding in violation of a Brand’s terms, or other parasiteware; refer your own purchases (self-referral) where prohibited; send spam or unlawful communications; or otherwise manipulate attribution. Commissions arising from prohibited activity are not earned and may be reversed or forfeited, and we may suspend or terminate your account.

10. Advertising and FTC disclosure

You are responsible for complying with all applicable advertising, endorsement, and consumer-protection laws, including the U.S. Federal Trade Commission’s Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 CFR Part 255) and equivalent rules elsewhere. You must clearly and conspicuously disclose your material connection to a Brand (for example, “#ad” or “sponsored”) wherever you promote, and you must not make false or misleading claims about a Brand’s products.

11. Intellectual property

The Service, including its software, design, and the Rekomi name and logos, is owned by Rekomi. Subject to these Affiliate Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service to participate in programs. You may use a Brand’s marks only as that Brand permits. You retain ownership of content you create, and you grant Rekomi a non-exclusive license to host and process it solely to provide the Service.

12. Privacy

Rekomi processes your personal data as described in the Privacy Policy. We do not sell your data and do not use it to train AI models without your explicit consent.

13. Disclaimers

The Service is provided “as is” and “as available”. To the maximum extent permitted by law, Rekomi disclaims all warranties, express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that attribution will be complete, that any earnings, conversion, or approval will be achieved, or that payouts will settle by any particular time.

14. Limitation of liability

To the maximum extent permitted by law, neither party is liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill. Rekomi’s total aggregate liability for any and all claims arising out of or relating to the Service or these Affiliate Terms is limited to the greater of the total Payouts paid to you by Rekomi in the twelve (12) months before the event giving rise to the claim, or US $100. These limits do not apply to liability that cannot be limited under applicable law.

15. Indemnification

You will defend, indemnify, and hold harmless Rekomi and its officers, employees, and agents from any third-party claim, loss, or liability (including reasonable legal fees) arising out of your promotional or advertising practices, your content, your violation of these Affiliate Terms or the Acceptable Use Policy, or your violation of any law or third-party right.

16. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate your access if you materially breach these Affiliate Terms or the Acceptable Use Policy, engage in fraud, or create risk or legal exposure for us; where practical and lawful, we will give notice and an opportunity to cure. On termination, your right to use the Service ends, and Commissions tied to fraudulent or reversed activity are forfeited. Provisions that by their nature should survive (including earned-but-unpaid valid Commissions, clawback, intellectual property, disclaimers, indemnification, limitation of liability, and dispute resolution) survive.

17. Changes to these Affiliate Terms

We may update these Affiliate Terms from time to time. We announce material changes by email or in-app notice. The “Updated” date above reflects the current version. Continued participation after a change takes effect constitutes acceptance.

18. Dispute resolution and arbitration

Please contact us first at support@rekomi.com so we can try to resolve any dispute informally. If we cannot, you and Rekomi agree that any dispute arising out of or relating to these Affiliate Terms or the Service will be resolved by binding individual arbitration administered in Miami-Dade County, Florida under the rules of a recognized arbitration body, rather than in court, except that either party may bring an individual claim in small-claims court or seek injunctive relief to protect intellectual property or confidential information. To the extent permitted by law, disputes will be resolved only on an individual basis, and class, collective, or representative actions are waived. If this class-action waiver is found unenforceable, the arbitration agreement is void for that dispute. You may opt out of this arbitration agreement by emailing support@rekomi.com within 30 days of first accepting these Affiliate Terms.

19. Governing law

These Affiliate Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law principles. Subject to Section 18, the state and federal courts having jurisdiction over Miami-Dade County, Florida have exclusive jurisdiction over any dispute not subject to arbitration, and the parties consent to personal jurisdiction and venue there.
